Terms and Conditions of Sale

These Terms and Conditions of Sale (“Terms”) outline the agreement between Elite Horizon General Trading LLC (“The Company”) and the purchaser of goods (“The Customer”). By accepting goods supplied by delivery or otherwise, the Customer agrees to these Terms. Variations to these Terms require prior written agreement by the Company.

Definitions

  1. The Company: Refers to Elite Horizon General Trading LLC.
  2. The Customer: The person or entity accepting a quotation, placing an order, or purchasing goods from the Company.
  3. The Goods: Comprise kitchen fuels, outdoor coolers, heaters, camping products, or other goods delivered by the Company.

Scope of Agreement

  • These Terms govern all sales, excluding any other terms put forth by the Customer unless expressly agreed in writing.
  • The Customer is responsible for ensuring the accuracy of any orders and providing necessary information for timely fulfillment.

Goods and Delivery

  1. Goods Specifications:
    • The Company may update product specifications to comply with statutory requirements or to improve quality and performance.
  2. Delivery Conditions:
    • Goods are delivered either to the Customer's premises or an agreed location.
    • Delivery may vary by ±5% of the order quantity. Any additional quantity will be invoiced at the quoted rate.
  3. Acceptance of Goods:
    • The Customer must inspect and accept Goods upon delivery. Claims for shortages or defects must be made within two working days.

Claims and Warranties

  1. Warranty Coverage:
    • Goods are warranted against manufacturer defects for up to five days after delivery.
    • Warranty does not cover wear and tear, misuse, negligence, or improper storage.
  2. Claims Process:
    • Notify the Company within two working days of delivery.
    • Include proof of purchase and clear images/videos demonstrating the issue.
  3. Resolution Options:
    • Replacement, repair, or refund at the Company’s discretion.

Returns Policy

  • Final Sales: All sales are final unless explicitly agreed otherwise in writing.
  • Returns are accepted only for defective products or as outlined in the Claims and Warranties section.

Pricing and Payment Terms

  1. Pricing:
    • Prices are valid for 30 days unless otherwise agreed.
    • Adjustments may occur due to external factors like exchange rates, duties, or material costs.
  2. Payment Terms:
    • Payment is due 30 days from the invoice date unless agreed otherwise in writing.
    • Failure to pay on time may result in:
      • Order cancellation.
      • Additional charges under the Late Payment of Commercial Debts Act.

Risk and Title

  • Risk Transfer: Risk passes to the Customer upon delivery.
  • Ownership Transfer: Title remains with the Company until full payment is received.

Special Delivery Conditions for Imported Products

For specially imported goods, delivery timelines are estimates and not guaranteed. Delays caused by external factors, such as shipping disruptions, are not the Company’s responsibility.

Cancellation Policy

Orders may not be canceled after acceptance without written consent from the Company. The Customer agrees to indemnify the Company for any resulting losses, including loss of profit or costs incurred.

Intellectual Property

The Customer may only use the Company’s brand names, trademarks, or logos in connection with supplied goods. Unauthorized use is strictly prohibited, and the Customer agrees to indemnify the Company for any misuse.

Liability in Case of Insolvency

If the Customer becomes insolvent, the Company may:

  1. Cancel the Contract.
  2. Reclaim unpaid Goods from the Customer’s premises.

General Provisions

  1. Notices: Any required notice must be in writing and sent to the recipient’s registered address.
  2. Data Protection: Both parties agree to comply with applicable data protection regulations.
  3. Assignment: The Customer may not assign or transfer obligations under this agreement without the Company’s written consent.
  4. Governing Law: These Terms are governed by the laws of Dubai, and disputes are subject to the exclusive jurisdiction of the Dubai courts.
